Regarding the recent series of incidents caused by the removal of Mr. Wu Changjiang from the directors, chairman and legal representative of NVC Lighting (China) Co., Ltd., Chongqing Sotong Law Firm was commissioned by Hong Kong NVC Lighting Co., Ltd. The lighting management (China) Co., Ltd. management rights and other related matters issued a statement as follows:
1. NVC Lighting (China) Co., Ltd. is a wholly foreign-owned enterprise legally established by Hong Kong NVC Lighting Co., Ltd. in Nan'an District of Chongqing Municipality;
2. Hong Kong NVC Lighting Co., Ltd. made a resolution of the board of directors and a shareholder decision on August 7, 2014, and resolved to exempt Wu Changjiang from all duties and identities such as directors, chairman and legal representative of NVC Lighting (China) Co., Ltd. Mr. Wang Donglei was appointed as the chairman and legal representative of NVC Lighting (China) Co., Ltd.;
3. The resolutions of the board of directors and shareholders' decision regarding the exemption of Wu Changjiang's director, chairman and legal representative from NVC Lighting (China) Co., Ltd. took effect on August 7, 2014. Since then, Wu Changjiang has ceased to serve as a mine. Shiguang Lighting (China) Co., Ltd., directors, chairman and legal representative, has no right to perform any activities or sign any documents on behalf of NVC Lighting (China) Co., Ltd.;
4. NVC Lighting (China) Co., Ltd. is actively handling the procedures for industrial and commercial change registration and seal change, etc. Wu Changjiang holds the financial chapter and bank of NVC Lighting (China) Co., Ltd. Seals such as seals have been invalidated, and their activities in the seals do not represent NVC Lighting (China) Co., Ltd., and they are all acts of infringement on NVC Lighting (China) Co., Ltd., NVC Lighting (China) Co., Ltd. All the responsibilities caused by Wu Changjiang’s unauthorized actions on behalf of the company will be investigated according to law;
5. No unit or individual may accept or cooperate with any action carried out by Wu Changjiang in the name of NVC Lighting (China) Co., Ltd., otherwise, any damage caused by the rights of NVC Lighting (China) Co., Ltd., NVC Lighting (China) Co., Ltd. will be investigated according to law.
