Xiamen Xinda 65.2 million completed the wholly-owned acquisition of Cinda Optoelectronics

On the evening of September 26, Xiamen Xinda (000701) announced that the company and Xiamen Langxing Photoelectric Co., Ltd. (hereinafter referred to as "Langxing Optoelectronics") signed the "Xiamen Xinda Optoelectronics Technology Co., Ltd. Equity Transfer Agreement" (hereinafter referred to as "Equity Transfer Agreement"). The company acquired a 30% equity interest in Xiamen Xinda Optoelectronics Technology Co., Ltd. (hereinafter referred to as “Xinda Optoelectronics”) held by Langxing Optoelectronics, with a transfer price of 65.2 million yuan. The base date for the transfer of equity shares is October 1, 2013. After the completion of the above acquisition, the company holds 100% equity of Cinda Optoelectronics.

The announcement shows that Xiamen Langxing Photoelectric Co., Ltd. has a registered capital of 60 million yuan and Chen Yunan holds 100% of the shares. Operating electronic industry technology research, electronic product production, LED packaging and landscape lighting.

According to the announcement, as of July 31, 2013, Cinda Optoelectronics' total audited assets were 635 million yuan, total liabilities were 418 million yuan, and net profit was 684.84 million yuan.

Xiamen Xinda said that after the completion of the acquisition, Cinda Optoelectronics will be a wholly-owned subsidiary of the company, which will help the company accelerate the development of optoelectronic business, enhance competitiveness, improve business performance, and promote the implementation of the company's focus on the development of electronic information industry.
